I have seen few skins which are downlodable from Madcap site. Can anyone tell me how do u create a new skin....

Flare's help has a bit of information on making a new skin, the skin editor topic lists all the individual styles that you can set in the skin's Styles tab.
Changing the colour scheme of the skin is fairly straightforward.
If you're going to use the default toolbar icons, then it's worth noting that the factory skins (and icons) come in different colours (blue/green/silver). If you pick the factory skin that most closely matches the colour scheme you'll be using then it means that your icons will match a bit better.
